Limitations of using Claude to track mergers and acquisitions
Following a merger means knowing where it stands this week. Claude by itself has a training cutoff and a general web search, and that combination runs into six problems with deals.
- Training stops before the deal does. Anthropic explains that every Claude model has a cutoff date and might not know about events that came later (Anthropic). Deals signed, revised or finished since then don't exist as far as the model is concerned.
- Antitrust review takes time. After filing, merging parties generally must hold off for 30 days, or 15 for cash tender offers and bankruptcies, unless regulators end the wait early. A Second Request extends that, since closing waits until the firms respond in full and another waiting period ends (FTC). Early news stories rarely get updated as each stage passes.
- Announced isn't the same as done. One example: in December 2025 Aya Healthcare abandoned its proposed takeover of Cross Country Healthcare, per the FTC. A search may return the original announcement and nothing about the deal ending.
- The terms are scattered. Price, consideration and projected close date often appear in separate stories. The signed agreement goes into an 8-K under Item 1.01 (SEC), a filing that general web results don't always include.
- Private transactions are hard to see. Public data on deals between private companies is sparse, and the Library of Congress notes that much of what exists sits in subscription services (Capital IQ, PitchBook and Mergermarket among them). Web search can't get into those.
- Numbers stated with confidence can still be wrong. Anthropic acknowledges that Claude sometimes produces responses that are incorrect or misleading, and suggests checking the sources it cites (Anthropic). With deals, the risky figures are purchase prices, exchange ratios and per-share consideration.
