Firecrawl Supplemental Customer Terms: Third-Party Data

Version: 2.0.0. Version hash: assigned at publication. Effective: on publication. Source Schedules in this version: A (FullEnrich), B (Particle), C (Benzinga), D (Fiscal.ai).

These Supplemental Customer Terms (the "Supplement") apply to your access to and use of data, content, and records made available through the Firecrawl Services that originate from third-party data providers ("Third-Party Data"). They are part of your agreement with Firecrawl. Each data source has its own Source Schedule at the end of this Supplement. The Source Schedule for a source states what you may and may not do with that source's data. These general sections state how you accept, what the record is, and how the Schedules fit with your agreement with Firecrawl.

By accepting this Supplement, or by accessing or using Third-Party Data, you agree to it.

1. Who is bound

1.1 You. "You" means the person or entity that holds the Firecrawl account through which Third-Party Data is accessed. If you accept this Supplement, or access Third-Party Data, on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity, the entity is bound, and "you" means both you and the entity.

1.2 Accounts and teams. Acceptance by an owner or administrator of a Firecrawl team or organization binds that team or organization and every person, credential, and system that accesses Third-Party Data through it. You are responsible for who holds those roles.

1.3 Automated agents. Software that accesses the Services using your credentials (an API key, an access token, an MCP session, or any other credential issued to your account), whether or not a person is supervising it at the time, is your "Automated Agent." Anything an Automated Agent does with Third-Party Data is done by you, and an acceptance you have accepted covers every Automated Agent on your account without further action. You will not contest an act of an Automated Agent on the ground that no individual reviewed it.

1.4 Agent acceptance of updates. An owner or administrator of your account may elect, in the Services, to allow Automated Agents using your account's credentials to accept updated versions of this Supplement and new Source Schedules on your behalf. Where that election is in effect, an acceptance transmitted by an Automated Agent is your acceptance, with the same effect as if a person had reviewed and accepted it, and Firecrawl will notify your account owners of it. Where it is not in effect, an updated version or a new Source Schedule requires acceptance by an owner or administrator. The election applies to every credential on your account, existing and future, and may be withdrawn at any time for future acceptances.

1.5 Your users and vendors. You are responsible for ensuring that your employees, contractors, service providers, end users, and Automated Agents who access or use Third-Party Data comply with this Supplement and the applicable Source Schedule. Their acts and omissions are yours.

2. How you accept, and what the record is

2.1 Acceptance Events. Each of the following is an "Acceptance Event": (a) confirming acceptance in the Firecrawl dashboard or another Firecrawl interface; (b) an acceptance transmitted through the Firecrawl API, CLI, or MCP surface, including by an Automated Agent where Section 1.4 applies; and (c) accessing or using Third-Party Data after this Supplement has been presented to you or to your Automated Agent. Any one Acceptance Event is sufficient. Firecrawl relies on all of them. One Acceptance Event by an owner or administrator covers your entire account for that version of the Source Schedule concerned; no further acceptance is needed by any person, credential, or Automated Agent on the account.

2.2 The record. Firecrawl records each Acceptance Event: the version and hash of each document presented, the account, team, and credential involved, the identity of the person or Automated Agent that acted, the surface used, and the time. You agree that these records are business records of Firecrawl, that they are admissible to prove the agreement and its terms, and that you will not object to them on the ground that they are electronic or that the acceptance was given by software.

2.3 Electronic form. This Supplement, its acceptance, and the records described in this Section are electronic records and electronic signatures under the U.S. Electronic Signatures in Global and National Commerce Act and the Uniform Electronic Transactions Act as adopted in California, including its provisions on contracts formed by electronic agents.

3. Your right to use Third-Party Data

Subject to this Supplement and your agreement with Firecrawl, Firecrawl grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use each source's Third-Party Data within the Approved Use, and subject to the restrictions, stated in that source's Source Schedule, for as long as you have access to that source through the Services. Firecrawl grants no right in Third-Party Data other than what the applicable Source Schedule states.

4. Restrictions

4.1 The Schedule states them. The restrictions on your use of a source's data are stated in its Source Schedule. They are the requirements of that provider, flowed to you, and they are part of this Supplement.

4.2 Firecrawl's controls. You will not bypass or interfere with the Services' access controls, credit metering, rate limits, source gating, or the acceptance flow for this Supplement.

5. Law and personal data

5.1 Laws generally. You will use Third-Party Data only in compliance with all laws that apply to you. A Source Schedule may name the laws and regulated uses that its provider requires you to observe; that list adds to this Section and does not limit it.

5.2 Personal data. Where a source's data includes personal data, you process it as an independent controller (or a "business" under the CCPA) for your own purposes. Firecrawl and the provider are not your processors for that use. What the provider requires of you as a controller is stated in the Source Schedule.

6. Credentials and notice to Firecrawl

6.1 Credentials. You will keep the credentials issued to your account confidential and will not provide any other person with access to Third-Party Data through them.

6.2 Notice to Firecrawl. You will notify Firecrawl at help@firecrawl.com within seventy-two (72) hours after you become aware of (a) any unauthorized access to or use of Third-Party Data through your account, or (b) any cease-and-desist letter, legal complaint, regulatory inquiry, or other legal demand relating to your use of Third-Party Data.

7. Deletion and end of access

7.1 The Schedule states the rule. Each Source Schedule states what you must do with that source's data when Firecrawl asks you to delete it, when your access to the source ends, or when your access to the Services ends, and the period in which you must do it.

7.2 Confirmation. On request you will confirm in writing that you have complied with a Source Schedule's deletion requirement. Where you are an entity, an officer or other authorized representative will provide that confirmation.

8. Suspension, availability, and survival

8.1 Suspension and termination. Firecrawl may suspend or terminate your access to Third-Party Data, to a source, or to the Services, immediately and without liability, if you breach this Supplement or a Source Schedule, if Firecrawl reasonably suspects a breach, or if a provider requires it.

8.2 Availability. Third-Party Data may change, be corrected, or be removed at any time, and a provider relationship may end. Firecrawl does not guarantee the availability, accuracy, or completeness of Third-Party Data or of any source, and credits consumed are not refundable because Third-Party Data later changed or became unavailable.

8.3 Survival. Sections 1, 2, 5, 6, 7, 9, 10, and 12, and each Source Schedule, survive for as long as you retain or use any Third-Party Data, and in any event survive termination of your agreement with Firecrawl.

9. Records and cooperation

9.1 Firecrawl's records. Firecrawl keeps records of Acceptance Events and of access to Third-Party Data through your account.

9.2 Verification. On reasonable request, no more than once in any twelve (12) month period unless Firecrawl reasonably suspects a breach, you will provide a written confirmation of compliance with this Supplement and the applicable Source Schedules and reasonable supporting information.

9.3 Provider inquiries. Firecrawl may share your identity, the identity of the accepting person or Automated Agent, your acceptance records, and information about your use of a source's data with that provider where needed to comply with Firecrawl's agreement with the provider, to respond to a legal claim, or to investigate a suspected breach.

10. Responsibility for Third-Party Data

10.1 As-is. Third-Party Data is supplied by providers, not created by Firecrawl. Firecrawl does not verify it. It is provided as-is, and you assume all risk of relying on it. The disclaimers and limitations of liability in your agreement with Firecrawl apply to Third-Party Data.

10.2 Indemnity. Your indemnification obligations under your agreement with Firecrawl extend to any claim, regulatory action, or loss arising from your use, display, or distribution of Third-Party Data or from your breach of this Supplement or a Source Schedule, including claims brought by a data provider and claims brought by an owner of content included in Third-Party Data.

10.3 Provider enforcement. Where a Source Schedule says so, the provider named in it is an intended third-party beneficiary of that Schedule and of any Provider Terms it incorporates, and may enforce them directly against you on the conditions the Schedule states. No other third-party rights are created.

11. Changes

11.1 Versions. Each published version of this Supplement carries a version number and a hash of its text. Each Source Schedule carries its own version and hash. The versions you accepted are the ones recorded in your Acceptance Event.

11.2 Material changes. If Firecrawl changes this Supplement or a Source Schedule in a way that materially increases your obligations or reduces your rights, Firecrawl will present the new version to you before further access to the affected Third-Party Data, and further access requires a new Acceptance Event.

11.3 Other changes. For any other change, Firecrawl will post the new version and notify you through the Services or by email. It takes effect thirty (30) days after notice, and your continued access to Third-Party Data after that date is acceptance.

11.4 New sources. A new Source Schedule applies only to that source's data and only after an Acceptance Event for it. Accepting one Source Schedule does not accept another. Adding a Source Schedule is not a change to this Supplement: it does not change the Supplement's version, and it does not require any new acceptance of the general sections or of any other Source Schedule.

12. Relationship to your agreement with Firecrawl

12.1 Part of the agreement. This Supplement is part of your agreement with Firecrawl, whether that agreement is the Firecrawl Terms of Service or a signed order form and enterprise agreement (the "Agreement"). Capitalized terms not defined here have the meaning given in the Agreement.

12.2 Order of precedence. For Third-Party Data only: a Source Schedule controls over the general sections of this Supplement, and this Supplement controls over the Agreement. Nothing in this Supplement reduces a restriction in the Agreement, and nothing in the Agreement expands the rights a Source Schedule grants in Third-Party Data. A signed order form may modify this Supplement or a Source Schedule only where it names the document and the section it modifies.

12.3 Governing law and disputes. The governing law, venue, dispute resolution, and class action waiver provisions of the Agreement apply to this Supplement.

12.4 Severability and waiver. If any provision of this Supplement is unenforceable, it will be enforced to the fullest extent permitted and the rest remains in effect. A waiver applies only to the instance for which it is given.

12.5 Notices. Notices to Firecrawl under this Supplement go to help@firecrawl.com. Notices to you go to the email address on your account or are presented in the Services.

12.6 Provider Terms. Some providers require that you accept their own published terms as a condition of receiving their data. Where a Source Schedule incorporates such Provider Terms, Firecrawl presents them to you with the Schedule, your acceptance of the Schedule is also your acceptance of the Provider Terms in the version presented, and the version and hash are recorded in your Acceptance Event. Provider Terms are part of that Source Schedule. Where Provider Terms and this Supplement both address a subject, the provision that more strictly limits use of that provider's data controls; in all other respects this Supplement and the Agreement govern your relationship with Firecrawl.
