Source Schedule C: Market News and Analyst Data (Benzinga)
Schedule version: C-1.0.0. Provider: Accretive Capital LLC, a Delaware limited liability company, doing business as Benzinga. Provider Terms incorporated: none.
C.1 The data. Content delivered from Benzinga through the Services: the US equities newsfeed (including full-text news articles), "Why Is It Moving" items ("WIIM"), press releases, analyst ratings, unusual options activity, and the M&A calendar, together with their headlines, metadata, and links (the "Market News Data"). Market News Data is licensed, not sold; Benzinga owns it, and nothing in this Schedule gives you or your end users any ownership in it.
C.2 Approved Use. Using and displaying Market News Data within your own products and surfaces, including to your own end users, and consuming it by machine to generate outputs delivered to your end users through your product, in each case for human reference. Your end users may read what your product shows them; they receive no license of their own.
C.3 Restrictions. You will not, and will not permit anyone acting through your account to:
(a) Provide raw data files of Market News Data for bulk redistribution, resell it as a standalone feed, or grant your end users or anyone else an independent sublicense to it.
(b) Reproduce, copy, modify, distribute, display, transfer, sublicense, sell, rent, lease, loan, or otherwise exploit Market News Data, or prepare derivative works or adaptations of it, except as C.2 and C.4 permit.
(c) Post or distribute Market News Data in any public forum (including print, newsletters, radio, television, or the open Internet) except within the limits C.4 sets for public surfaces.
(d) Use Market News Data to create derivative datasets or outputs that replicate or compete with the functionality, insights, or value Benzinga provides.
(e) Use Market News Data to train generalized AI models, or to train, develop, or enhance any public AI system, including systems operated or distributed by third-party model providers. Use in AI systems is permitted only in private instances and in third-party AI systems acting as service providers to you.
(f) Remove, obscure, or alter any notice of Benzinga's intellectual property or any attribution delivered with Market News Data.
(g) Disassemble, translate, reverse engineer, or decompile Market News Data or the systems that deliver it.
(h) Knowingly do anything that impairs, jeopardizes, or infringes Benzinga's intellectual property in Market News Data, dispute Benzinga's ownership of it, prejudice Benzinga's reputation or goodwill through your use of it, or claim or register any mark confusingly similar to Benzinga's.
(i) Use, store, or access Market News Data after your access to this source ends, except as C.9 allows.
C.4 Where each kind of data may appear. Full-text news articles and WIIM may be shown only in response to an authenticated, paid request or within your authenticated product. On any public or unauthenticated surface, you may show only the headline, the attribution, and a link back to Benzinga. Analyst ratings may be shown only in response to an authenticated, paid request or within your authenticated product, and need no attribution or link. Every restriction in C.3 applies equally to AI-generated outputs that incorporate Market News Data.
C.5 Attribution. Firecrawl delivers the attribution "Powered by Benzinga Data" in the response metadata and in the provider catalog. Whenever Market News Data, or an output generated from it, appears in a public-facing or end-user-accessible output, interface, or material of yours, you will display that attribution. Attribution is not required for use by your own employees inside your organization, and is not required for analyst ratings.
C.6 Security and safeguards. You will secure Market News Data in line with industry best practice, including encryption in transit and at rest, and you will use commercially reasonable efforts to prevent unauthorized reproduction, publication, disclosure, modification, or distribution of it. If you become aware of any such unauthorized use, you will notify Firecrawl immediately at help@firecrawl.com; Section 6.2's seventy-two hours is the outer limit, not the target.
C.7 Usage information. Benzinga may ask Firecrawl for aggregate usage reports, including which deployments are internal-only for attribution purposes. On Firecrawl's request you will, within ten (10) days, confirm whether each of your deployments that uses Market News Data is internal-only or end-user-facing and provide the aggregate usage information reasonably available to you. Where several of your uses are identical, one representative sample suffices. Firecrawl relies on what you report and passes it to Benzinga.
C.8 Storage. You may store Market News Data as needed to serve it within your authenticated product to your end users during your access, subject to C.3(a), C.4, and C.6. You will not accumulate raw files of it or retain it beyond what serving your product requires.
C.9 End of access. When your access to this source ends for any reason, including the end of Firecrawl's agreement with Benzinga, you will cease accessing and distributing Market News Data when Firecrawl tells you to, delete all of it in your possession or control within thirty (30) days after that notice, and certify the deletion in writing on request. Firecrawl's agreement with Benzinga allows a wind-down period during which existing integrations may continue; Firecrawl will tell you the dates that apply to you. Section 7.2 applies.
C.10 Changes and withdrawal. Benzinga may change the content or format of Market News Data, at times without advance notice, and may withdraw content it no longer has the right to distribute. When Firecrawl notifies you that content has been withdrawn, you will stop displaying it and remove it from your systems promptly.
C.11 Suspension. Firecrawl may suspend or terminate your access to Market News Data or to the Services on breach of this Schedule, or where Benzinga requires it. This Schedule survives for as long as you retain or use Market News Data.
C.12 What you are accepting about the data. Market News Data is provided by Benzinga in good faith from sources it believes reliable, but neither Benzinga nor Firecrawl guarantees its accuracy, authenticity, timeliness, reliability, correct sequencing, or completeness, or that it is free of errors, and neither assumes responsibility for your or your end users' use of it. It is provided as-is and as-available, and neither Benzinga, its affiliates, its data providers, nor Firecrawl is liable to you or to your end users for inaccuracies, errors, or omissions in it, or for damages resulting from them, regardless of cause. You use Market News Data at your own risk, and claims arising from your use, display, or distribution of it are your responsibility under Section 10.
